Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of Memurai software and related services, including the Memurai Portal (the "Portal"), owned and operated by Janea Systems, Inc. d/b/a Memurai® (“Company”, "us", "we", or "our"). By accessing or using Memurai and the Portal, you ("User" or "you") agree to these Terms. If you do not agree to these Terms, you must not use the Portal or Memurai software.

2. Definitions

Memurai Portal ("Portal") – An online platform through which users can download and manage Memurai, obtain or request licenses (including trial and enterprise options), and access related services or documentation. The Portal may also offer user and company account management features.

Enterprise License – A paid license for Memurai with additional support and features.

Trial License – A free license granted for a limited period of 90 days.

Memurai Developer Edition ("Developer Edition") – A free edition of Memurai intended for development and testing purposes only. It does not include an Enterprise License and does not require registration on the Portal.

3. Service Description - Portal

Through the Memurai Portal, Users can:

  • Download installers for Memurai.
  • Generate trial licenses, subject to limitations.
  • Request enterprise licenses (subject to review and approval by our sales department).
  • Manage user and company accounts.
4. License Limitations
  • Users cannot generate an Enterprise License independently. Such licenses can only be provided by a Memurai Portal administrator.
  • License limitations may be imposed on Memurai’s operation, including restrictions on available RAM usage, number of connections, number of connected instances, and other factors, depending on the license file contents.
5. User Registration and Access - Portal

To register for the Memurai Portal, users must:

  • Provide their full name, valid corporate email address, and other required details. This information is stored securely in our internal application database.
  • Accept these Terms and our Privacy Policy.
  • Comply with any additional verification requirements imposed by Memurai.
6. 90-Day Free Trial Terms - Portal
  • Users can generate a limited number of trial licenses per organization.
  • The limitation is based on the email domain. For example, if the limit is 3 trial licenses, and two licenses have already been issued to users from the same company domain, only one additional trial license will be granted.
  • The trial license duration is 90 days and remains unaffected by subsequent changes in configuration.
  • The trial license does not impose any limitations on Memurai usage.
7. Memurai Developer Edition Terms
  • The Developer Edition is free and intended solely for development and testing purposes. It is strictly prohibited for use in production environments.
  • The Developer Edition will automatically shut down after 10 days of continuous operation. This shutdown does not wait for data to be saved, meaning any unsaved data will be lost.
  • Additional limitations apply, such as restrictions on maximum RAM usage (as a percentage of available system memory), number of connections, and maximum clients. These limitations may change from version to version.
  • The Memurai team reserves the right to modify these restrictions at any time.
8. Telemetry and Data Collection

By using Memurai, you acknowledge and consent to the collection of telemetry data, which is sent from a running Memurai instance and is unrelated to the Portal operation. The collected telemetry data includes:

  • Memurai version and type of operating system (server or desktop).
  • Anonymized physical interface details (hashed addresses).
  • Instance count and other related technical data.
  • License-enabled versions will transmit license ID information.

This data is transmitted securely to our servers and storage systems, utilizing industry-standard security measures to ensure data integrity and protection. While system logs may contain metadata such as source IP addresses, Memurai does not actively track or associate specific users with collected telemetry data. However, cross-referencing telemetry records with system logs may allow inference of the originating IP address.

9. Support and Enterprise License Obligations
  • Users with an Enterprise License may receive additional support, including security fixes and updates, as outlined in their licensing agreement.
  • Support scope and response times are subject to separate agreements.
10. Restrictions on Use - Portal

Users must not:

  • Use the Memurai Portal for any unlawful, fraudulent, or unauthorized purpose.
  • Attempt to gain unauthorized access to any part of the Portal or interfere with its proper operation.
  • Use the Portal in a way that could damage, disable, overburden, or impair our infrastructure.
  • Engage in any activity that violates applicable laws or third-party rights.
  • Circumvent any technical limitations imposed by a license.
  • Share or distribute trial licenses beyond their intended scope.
  • Engage in any activity that disrupts or interferes with the operation of the Portal.

Furthermore, users acknowledge that Memurai shall not be held liable for any unauthorized or improper use of the Portal. Users agree to indemnify and hold harmless Memurai and its affiliates from any claims, damages, or legal fees arising from misuse or violations of these Terms.

11. Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

12. Availability, Errors, and Inaccuracies

We are constantly updating product and service offerings on the Service. We may experience delays in updating information on the Service and in our advertising on other websites. The information found on the Service may contain errors or inaccuracies and may not be complete or current. Products or services may be mispriced, described inaccurately, or unavailable on the Service, and we cannot guarantee the accuracy or completeness of any information found on the Service.

We, therefore, reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. Continued use of the Memurai Portal and Memurai software constitutes acceptance of the revised Terms.
